TERMS OF SERVICE
Effective Date: September 1, 2025
These Terms of Service (“Terms”) constitute a legally binding agreement between Customer (“Customer,” “Customer’s ,” or “User”) and Fleetpal LLC (“Fleetpal,” “we,” “our,” or “us”) governing Customer’s access to and use of the Fleetpal website, mobile applications, and software-as-a-service platform (collectively, the “Service”). By accessing or using the Service, Customer agree to be bound by these Terms and Fleetpal’s Privacy Policy. Fleetpal reserves the right to update, amend, and/or revise these terms at any time, and Fleetpal will notify Customer of changes. Any further use of the site or Fleetpal’s services is considered as acceptance of the modifications.
1. Acceptance of Terms
By accessing, registering, or using any part of the Service, Customer affirm that Customer are at least 18 years of age, have the legal capacity to enter into this agreement, and agree to comply with and be bound by these Terms. If Customer are using the Service on behalf of an organization, Customer represent and warrant that Customer have the authority to bind that organization to these Terms.
2. Description of the Service
Fleetpal provides a cloud-based fleet maintenance management platform, including but not limited to tools for vehicle and equipment tracking, maintenance scheduling, cost management, reporting, alerts, document storage, and integration with third-party systems.
Fleetpal reserves the right to modify or discontinue any part of the Service at any time, with or without notice.
Fleetpal may offer beta or experimental features from time to time. Such features are “as-is” and may be modified or removed at any time without notice. These may not meet standard availability or support service levels, and even if globally available during beta may not be added as core functionality if implemented in production.
3. Account Registration and Responsibilities
To access certain features of the Service, Customer must create an account. Customer agree to:
a. Provide accurate, current, and complete information during registration. Customer reserve the right to omit and/or remove any personally identifiable information from Customer’s account records.
b. Only individuals or entities legally authorized to act on behalf of or as a representative of the Customer may access the Service. Fake, deceptive, personal, or other non-company emails intended to mask, shield, or obfuscate, or hide from Fleetpal the individual or entities accessing the Service are not permitted as login credentials. Any violation may result in immediate suspension and possible termination of access of the Customer to the Service. Fleetpal will notify Customer of any suspicion of such acts. Customer will have (5) five days to resolve the issue. If remedy is not obtained, Customer access will be terminated. Fleetpal shall not be held liable to Customer during suspension or termination, and suspension shall have effect on Customer’s Service Period or obligation to pay fees.
c. Maintain and promptly update Customer’s account information.
d. Safeguard Customer’s password and other login credentials.
e. Notify us immediately of any unauthorized access or breach of security.
f. While individuals may create multiple logins, logins must not be shared or used by multiple individuals.
g. Customer may not attempt to modify, translate, adapt, edit, copy, decompile, disassemble, or reverse engineer any software used or provided by us in connection with the Service.
h. The Service is constantly evolving and the form and nature of the service will change from time to time. Fleetpal reserve the right to change, alter, add, and remove features and functionality within the service.
i. Customer may not do any of the following while accessing or using the Service: (i) access, tamper with, or use non-public areas of the Service, Fleetpal’s computer systems, or the technical delivery systems of Fleetpal’s providers; (ii) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security measures; (iii) access or search or attempt to access or search the Service by any means (automated or otherwise) other than through Fleetpal’s currently available, published interfaces; (iv) in any way use the Service to send altered, deceptive or false information; (v) otherwise interfere with, or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, overloading, flooding, spamming, mail-bombing the Service, or by scripting the creation of content in such a manner as to interfere with or create an undue burden on the Service; (vi) use the Service to store or transmit any “viruses,” “worms,” “Trojan horses,” “e-mail bombs,” “cancelbots” or other harmful computer code, files, scripts, agents or programs; (vii) use the Service to store or transmit deceptive, infringing, defamatory or otherwise unlawful or tortious materials, or to store or transmit material in violation of (viii) third-party privacy or other rights, or (ix) confidentiality obligations to third parties; or (x) access the Service in order to build a competitive product or service or share, sell, resell, rent, lease, or otherwise distribute access to the Services or use the Services to operate any timesharing, service bureau, or similar business; or (xi) use aggressive, harassing, discriminatory, insulting, abusive or otherwise objectionable language when communicating via any medium with employees of Fleetpal (“Objectionable Behavior”). Engaging in Objectionable Behavior may be treated by Fleetpal as a material breach by Customer of this Agreement subject to Fleetpal’s remedies below.
Customer are responsible for all activities that occur under Customer’s account. Fleetpal is not liable for any loss or damage resulting from Customer’s failure to maintain the confidentiality of Customer’s credentials.
4. Subscription Plans, Fees, and Payment Terms
Fleetpal offers multiple subscription plans with varying features and pricing.
a. All fees are billed in advance of the Service Period on a recurring basis for the term of the agreement unless otherwise stated. The first due date will be the first day of each Service period.
b. Customer must provide and maintain up-to-date and accurate billing information.
c. Payments are non-refundable except as required by law or stated in a separate service agreement. There shall be no refunds or credit for early termination, reduction of assets, or downgrade of services prior to Service renewal.
d. Customer authorize Fleetpal or its third-party payment processor to charge Customer’s payment method for all applicable fees.
e. Fleetpal may modify pricing with at least 30 days’ written notice.
f. Customer may use the Service to manage the number of assets purchased by the customer on the governing order form. Customer agrees to monitor the number of assets active in the Service and notify Fleetpal of changes that will exceed the purchase amount. Fleetpal reserves the right to increase subscription fees to correspond with the increase in the assets count.
g. Third party services may be part of a subscription. Those services are managed through order forms and are in addition to core Services provided by Fleetpal. Fleetpal will not be liable for interruptions to those services which are out of Fleepal’s control. Fleetpal will make reasonable efforts to rectify service interruptions and failures.
h. Third party services may also be ad hoc and not part of a subscription. Even when linked to the Service, when directed outside the Service to third party services, payment may be required and due to the third party. Fleetpal is committed to working with fair, honest, and proven partners, even so Fleetpal makes no promises or guarantees regarding that service.
i. Customers may dispute charges or invoices within thirty (30) days of receipt of invoice. Notice of dispute must be submitted in writing.
j. If access to Services is suspended for non-payment, fees, dues, and interest will continue to accrue.
k. Late payment may be subject to a finance charge of 1.5% per month or the maximum permitted by law, whichever is lower, and Customer shall be responsible for all collection costs including reasonable attorney’s fees.
l. Professional Services not included in standard customer support services are billed at $350 USD per hour.
Failure to pay any subscription fees for Fleetpal Services may result in suspension or termination of Customer’s access to the Service.
5. Service Level Commitment
Fleetpal aims to maintain a Service uptime of 99.9% for its core Services. This excludes scheduled maintenance, emergency maintenance, and causes outside Fleetpal’s control(e.g. force majeure events). Fleetpal shall not be liable for damages due to force majeure events. Fleetpal shall not be liable for downtime caused by customer or functionality failures due to third party interruptions.
6. Permitted Use and Restrictions
Customer may use the Service solely for Customer’s internal business operations in accordance with these Terms.
a. Customer may designate users and permission level access to Services. Only individuals employed by Customer may be given access credentials for Services.
b. Customer shall refrain from Modifying, reverse engineering, decompiling, or disassembling the Service.
c. Customer shall refrain from using the Service to store or transmit malicious code.
d. Customer shall refrain from circumventing or disabling any security features.
e. Access or use of the Service to build a competitive product or service is strictly prohibited, and will result in immediate suspension of access and termination, with cause, of account.
f. Customer shall refrain from interfering with the integrity or performance of the Service or data contained therein.
g. If an Authorized Users employment is terminated, Customer shall terminate access to the Service of the individual at that time.
Fleetpal reserves the right to investigate and take appropriate legal action against any misuse or unauthorized use of the Service.
Fleetpal may audit Customer’s use of the Service to ensure compliance with these Terms. Audits will be conducted with reasonable notice and during business hours, if Customer resources are required.
7. Intellectual Property Rights
All content, technology, and intellectual property underlying the Service (including software, interfaces, design, text, graphics, logos, trademarks, and data) are owned by Fleetpal or its licensors and protected by applicable intellectual property laws.
Customer are granted a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms. No other rights are granted.
Any feedback, suggestions, or ideas Customer provide to Fleetpal may be used by Fleetpal without restriction or compensation to Customer. Customer grant Fleetpal a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into its services.
8. Customer Data and Privacy
Customer retain ownership of any data Customer upload or input into the Service (“Customer Data”). By submitting Customer Data, Customer grant Fleetpal a worldwide, royalty-free, non-exclusive license to host, copy, process, transmit, and display such data solely as necessary to provide and improve the Service.
Fleetpal will maintain appropriate administrative, technical, and physical safeguards to protect Customer Data as described in Fleetpal’s [Privacy Policy].
Customer are responsible for ensuring the legality, reliability, and accuracy of Customer’s Customer Data.
Fleetpal may engage authorized subprocessors to support delivery of the Service. All subprocessors are contractually bound to data protection standards no less protective than those in this agreement.
9. Data Retention and Deletion
Upon termination of Customer’s account or expiration of Customer’s subscription, Customer’s data will be retained for a period as set forth in Fleetpal’s data retention policy. After such a period, Customer’s data may be permanently deleted.
Customer may request earlier deletion of Customer’s data by contacting support.
Upon written request and prior to termination, Fleetpal will provide Customer with a copy of Customer’s Customer Data in a commonly used format such as CSV or JSON. Additional export support may be subject to standard service fees.
10. Third-Party Services
The Service may include integrations or links to third-party services. Fleetpal does not control or endorse such services and is not responsible for their content, functionality, or availability.
Customer’s use of any third-party services is at Customer’s own risk and subject to their terms and conditions.
11. Confidentiality
Each party agrees to protect the confidential information of the other party with the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential information does not include information that is publicly available, was known before disclosure, or is independently developed.
12. Warranties and Disclaimers
The Service is provided “as is” and “as available.” Fleetpal disclaims all express, implied, or statutory warranties, including but not limited to merchantability, fitness for a particular purpose, title, and non-infringement.
Fleetpal does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses.
13. Limitation of Liability
To the fullest extent permitted by law, Fleetpal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or business opportunities.
Fleetpal’s total liability for any claims arising under these Terms shall not exceed the total amount paid by Customer to Fleetpal for the Service in the twelve (12) months preceding the claim.
14. Indemnification
Customer agree to indemnify, defend, and hold harmless Fleetpal and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:
a. Customer’s access to or use of the Service;
b. Customer’s breach of any provision of these Terms;
c. Customer’s violation of any third-party rights.
15. Termination and Suspension
Fleetpal may suspend or terminate Customer’s access to the Service:
a. If Customer violate these Terms;
b. Upon expiration or non-renewal of Customer’s subscription;
c. Upon violation of any third-party rights;
d. If required by law.
Customer may terminate Customer’s account at any time. Upon termination, Customer’s access to the Service will cease. Certain obligations will survive termination, including sections on Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, and Indemnification. Fees for the remaining term will remain due and payable.
Customer may terminate this Agreement for convenience with 30 days written notice. Early termination will not entitle Customer to a refund.
16. Changes to the Terms
Fleetpal reserves the right to modify these Terms at any time. Fleetpal will provide notice of material changes by posting the updated Terms on Fleetpal’s website and indicating the date of the last update.
Customer’s continued use of the Service after changes become effective constitutes Customer’s acceptance of the revised Terms.
17. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Pennsylvania, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Philadelphia, Pennsylvania.
Customer agrees to waive any right to a jury trial or to participate in a class action.
18. General Provisions
a. Entire Agreement: These Terms constitute the entire agreement between Customer and Fleetpal.
b. Waiver and Severability: Any failure to enforce a provision shall not constitute a waiver. If any provision is held invalid, the remaining provisions shall remain in full force.
b. Assignment: Customer may not assign Customer’s rights or obligations without prior written consent. Fleetpal may assign its rights without restriction.
c. Force Majeure: Fleetpal shall not be liable for delays or failure to perform due to causes beyond its reasonable control.
Notices: All legal notices under this Agreement shall be in writing and shall be deemed to have been duly given when received, if delivered personally; when receipt is electronically confirmed, if transmitted by email; or the day after it is sent, if sent for next day delivery by a recognized overnight delivery service.
